Company and LLP Changes and Closure in Gurugram

Changing something about your company or LLP, or winding it up?

Updated

Changes to a company’s name, registered office or directors, or to an LLP’s partners, have to be approved internally and reported to the MCA within set timelines. Closing a company also has a formal route. GurugramHelp assists with the resolutions, forms and supporting documents.

How do I change a company's registered office?

Within the same city, the board passes a resolution and Form INC-22 is filed with the MCA within the time allowed. A move to another city or state also needs shareholder approval, and a move between states needs further approval.

Common changes

  • Appointing or removing a director: Form DIR-12
  • Moving the registered office: Form INC-22, with more steps for a move between cities or states
  • Changing the company name: name approval, a special resolution and Form INC-24
  • LLP partner or agreement changes: LLP Forms 3 and 4
  • Changes to share capital or objects

Timelines matter

Most changes have to be filed with the MCA within a fixed period after they happen. Late filing attracts additional fees and complicates later filings, so plan the paperwork before the change takes effect.

Closing a company

A company that has stopped business can apply to be struck off the register, provided its filings are up to date and it has no liabilities. Companies that can't use that route go through winding up. An LLP has its own closure process.

How GurugramHelp helps

We prepare the resolutions, forms and supporting documents for each change. Several MCA forms have to be certified by a practising professional before filing.

Common questions

Can a director resign at any time?

A director can resign by giving notice to the company. The company reports the resignation to the MCA, and the director can also file their own intimation.

Why can't I just stop filing instead of closing the company?

Not filing doesn't close a company. Penalties keep building, directors can be disqualified, and the registrar can strike the company off. Closing it formally is cleaner.

Does a name change affect contracts and registrations?

The company remains the same legal entity, but bank accounts, GST, licences and contracts need updating to the new name.
