Every business needs a different mix of registrations, depending on its structure, what it sells and where it operates. GurugramHelp helps founders and owners work out which registrations apply, prepare the documents and get the applications right.
Which registrations does your business need?
- Starting out on your own: a sole proprietorship, built on GST, Udyam and a shop registration as needed
- Two or more partners: a partnership firm or a limited liability partnership (LLP)
- Planning to raise investment or scale: a private limited company
- Not-for-profit work: a Section 8 company
- Making, selling or serving food: FSSAI registration or licence
- Importing or exporting: an Import Export Code (IEC)
- A shop, office or other establishment: shop and establishment registration, and a trade licence for some trades
A note on professional certification
Some filings, such as company and LLP incorporation forms, have to be certified by a practising chartered accountant, company secretary or cost accountant before they are submitted. Tax and legal advice on structure should come from a qualified professional.
Business & company services
Setting up the business
- Company & LLP registration Companies and LLPs are registered with the Ministry of Corporate Affairs (MCA) through online forms.
- Proprietorship & partnership A sole proprietorship is the simplest way to run a business: there's no separate registration of the business itself, so it's set up through tax and trade registrations in the owner's name.
Tax and licences
- GST registration & returns GST registration, amendments and cancellation all happen on the GST portal, and registered businesses then file returns on a regular schedule.
- Udyam (MSME) registration Udyam registration records your business as an MSME with the Ministry of MSME.
- FSSAI registration & licence Every food business operator needs FSSAI registration or a licence before starting.
- Shop registration & trade licence Most shops, offices and establishments need two different permissions.
- Import Export Code (IEC) The Import Export Code (IEC) is a 10-character code issued by the Directorate General of Foreign Trade (DGFT), based on the business’s PAN.
Signatures and company changes
- Digital signature (DSC) & DIN A Digital Signature Certificate (DSC) lets you sign electronic documents and filings securely.
- Company changes & closure Changes to a company’s name, registered office or directors, or to an LLP’s partners, have to be approved internally and reported to the MCA within set timelines.

Common questions
Is an LLP or a private limited company better for a small business?
It depends on your funding plans, how much compliance you can take on and how ownership will work. Private limited companies suit equity investment; LLPs generally have lighter compliance. A professional should advise on the tax effects.
Do I need GST registration to start a business?
Not always. Registration is required once turnover crosses the applicable threshold, and in some cases regardless of turnover, such as inter-state supply of goods or selling through e-commerce operators. Check the GST portal for the current rules.
Is Udyam registration free?
Yes. Registration on the official Udyam portal is free of charge. If you pay anyone, you are paying for assistance, not for the registration.
